Welcome to Amazon Design Agency (referred to as "we", "us", "our", or "ADA"). We design conversion-first creative systems on Amazon—including listing images, A+ content, storefronts, infographics, main images, and brand stories.
These Terms & Conditions ("Terms") form a binding B2B service agreement between Amazon Design Agency and the business entity you represent ("Client", "you", or "your"). By accessing our website, requesting a free creative audit, purchasing a design package, or executing a work order, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are entering into this agreement on behalf of a company, partnership, or other legal entity, you warrant that you hold the legal authority to bind that entity to these Terms.
Acceptance of terms
By executing a design invoice, submitting a listing audit form, checking the acceptance box during checkout, or submitting brand briefs to our design team, you signify your absolute acceptance of these Terms.
If you do not agree to all provisions within this agreement, you must immediately cease accessing our website, cancel any outstanding service requests, and refrain from utilizing our design deliverables. Any customized deviations or additional covenants to these Terms must be executed in a separate, written addendum signed by authorized officers of both parties.
Services provided
Amazon Design Agency provides professional, specialized B2B graphic design and copywriting services specifically optimized for the Amazon Seller Central and Vendor Central platforms.
Our core design packages include:
- Listing Image Sets: Customized primary listings, feature callout cards, lifestyle images, and objection-handling layout frames.
- A+ Content Design: Structured product comparison tables, scannable ingredient/feature trust grids, and header modules.
- Amazon Storefronts: Brand storefront interface grids, navigation layouts, and multi-ASIN landing banners.
- Main Images: Pure-white background rendering and product photography framing compliant with Seller Central requirements.
- Infographics: High-contrast, scannable data illustrations translating product specifications into buyer outcomes.
- Brand Stories: Cross-selling timelines, brand heritage slides, and multi-SKU carousel modules.
Our services are provided on a flat-rate or invoice-basis depending on the specific project scope chosen. We do not guarantee store rankings, indexation speeds, or organic search placement as these are controlled by third-party platform algorithms.
Payment & fees
Client agrees to pay all fees associated with their selected design package or custom work order.
- Payment Schedule: Flat-rate design packages must be paid in full (100% upfront payment) before design work, briefing sessions, or asset reviews begin, unless explicitly stated otherwise in a custom B2B invoice.
- Invoicing: Customized project invoices are issued in Great British Pounds (GBP) or United States Dollars (USD) as agreed upon. All invoices must be paid via bank transfer or credit card within seven (7) business days of issuance.
- Tax Compliance: You are responsible for any applicable value-added tax (VAT), sales tax, or withholding taxes required by your local jurisdiction.
- Late Payments: Late payments may result in the immediate suspension of active design queues, revision rounds, and delivery files.
Revisions & deliverables
We build premium, conversion-first creative systems, and we manage project scopes with structured feedback loops to guarantee clear timelines.
- Delivery Timelines: Standard design sets are delivered in draft form within seven (7) business days of receiving your finalized brand assets and brief details. Complex storefronts and multi-ASIN custom packages typically take 10 to 14 business days.
- Structured Revision Rounds: Every standard package includes two (2) structured revision rounds. Revisions must be submitted within seven (7) business days of receiving drafts.
- Definition of Revision: A revision constitutes adjusting existing layouts, resizing assets, correcting copy typos, or modifying color shades based on the original brief. Re-briefing a different product, changing ASIN targets mid-project, or introducing entirely new design styles outside the original scope are treated as new project charges.
- Final Formats: Final design files are delivered in compliant JPEG and PNG formats (2000×2000px minimum, sRGB color profile) ready for Seller Central upload. Figma source vector files are delivered upon request after full invoice payment is cleared.
Intellectual property & ownership
We respect proprietary rights and transition design ownership to you immediately upon contract settlement.
- Ownership Transfer: Upon receipt of full and cleared payment for the associated invoice, all copyrights, ownership rights, and design titles for the finalized creative assets are fully transferred to the Client.
- Raw Assets: Client warrants that they own or hold proper usage licenses for all lifestyle photos, product mockups, raw graphics, and brand trademarks submitted to us for inclusion in designs. ADA holds no liability for trademark claims arising from Client-supplied assets.
- ADA Portfolio License: You grant Amazon Design Agency a non-exclusive, royalty-free, perpetual, worldwide license to display the completed completed designs, client brand logo, and product results in our online portfolio gallery, case studies, and marketing presentations. If you have active NDA requirements, please notify us before invoicing to execute a mutual waiver.
Client responsibilities
To meet our 7-day design turnaround target, the Client must actively collaborate and supply the necessary assets.
- Asset Quality: Client must supply high-resolution lifestyle photos, product packaging artwork, exact ingredient disclosures, certified laboratory testing badges (if applicable), and clear brand typography guidelines. Low-resolution or incomplete assets will delay project timelines.
- Accuracy of Claims: Client is solely responsible for verifying the accuracy of all product claims, FDA notices, warranty text, and benefit copy. ADA does not verify the scientific truth or regulatory compliance of product claims.
- Seller Central Compliance: You are responsible for ensuring that final copy, images, and modules comply with local Amazon Terms of Service, Category guidelines, and Seller Central compliance protocols. ADA designs within compliant guidelines, but the final upload decision rests with the Client.
Cancellations & refunds
Due to the digital and custom nature of high-end graphic design and copywriting services, we enforce clear boundaries on project cancellations.
- Refund Eligibility:
- If you cancel a project before any design research, wireframing, or draft creation has commenced, you are eligible for a 100% refund (minus any payment processing transaction fees).
- If you cancel a project after design drafts or initial copy concepts have been shared, no refunds will be issued.
- Project Abandonment: If a client fails to provide raw briefs, feedback, or response within thirty (30) consecutive calendar days after payment, the project will be marked as "Closed/Completed" due to inactivity. Reactivating an abandoned project requires a reactivation fee of 15% of the total project value.
Limitation of liability
Amazon Design Agency designs creative structures optimized to convert traffic, but B2B e-commerce results are subject to numerous external variables.
- No Commercial Guarantees: ADA does not guarantee increases in conversion rates, click-through rates, revenue, or organic keyword rankings.
- Account Actions & Suspensions: We are not liable for any listing suppressions, Amazon Seller Central account suspensions, ASIN search blocks, policy violations, or compliance challenges initiated by Amazon against your store, regardless of whether the designed creative assets are active on the listing.
- Maximum Liability: In no event shall Amazon Design Agency's total cumulative liability for any breach, dispute, or action arising under this agreement exceed the actual cash amount paid by the Client to ADA for the specific design project associated with the dispute.
Governing law
These Terms, along with any design disputes, B2B conflicts, or contract interpretations, shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Both parties agree to submit to the exclusive jurisdiction of the courts located in Birmingham, United Kingdom, to resolve any legal action, dispute, or lawsuit arising under this agreement.
Changes to terms
We reserve the right to revise, update, or modify these Terms & Conditions at any point without prior notice.
- Effective Date: Revised Terms become effective immediately upon posting to this page.
- Client Notification: For active design contracts, your continued use of ADA services, communication channels, and review links following an update constitutes your agreement to the updated Terms.
- Record Keeping: We encourage clients to bookmark or download this page periodically to remain informed about current service covenants.
